Trade Terms

1. About these terms

These Trade Terms govern every purchase made on a Smart Warehouses Trade account. Trade accounts are for businesses only: by applying for or using one, you confirm that you are buying wholly or mainly for business purposes and that you accept these terms. Consumer purchases on our retail store are governed by our retail terms of service instead. Where these terms are silent, our retail terms and published policies apply so far as they are consistent with a business sale.

2. Eligibility, vetting and re-verification

Trade accounts are available to UK businesses registered with Companies House and holding a valid UK VAT registration number. We verify every application against Companies House records and HMRC's “Check a UK VAT number” service, and we give you a decision within two business days of receiving a complete application. We may decline an application, and we may ask for further information before deciding.

You must ensure the information on your application — and on your account thereafter — is accurate and kept up to date. We re-verify every trade account annually against the same sources. If a check fails or your details no longer match, we'll contact you; if it can't be resolved within a reasonable time, we may suspend ordering on the account until it is.

3. Your account and buyers

Sign-in is passwordless: buyers sign in with their email address and a one-time code. You are responsible for orders placed by the buyers authorised on your account, so keep your buyer list current — tell us when someone joins or leaves and we will add or remove their access promptly. A removed buyer loses access to your trade account, prices and order history.

4. Tiers and catalogues

Trade accounts are assigned to one of two tiers: Standard Trade (our full catalogue) or Auto-Repair Trade (a focused automotive catalogue: vehicle parts & accessories, car care, garage tools & equipment, and 12V electrical & bulbs). We assign the tier that fits your business during vetting and may adjust tier catalogues from time to time.

5. Prices and VAT

When you're signed in on an approved trade account, prices are displayed excluding VAT, marked with a “+ VAT” label, and the site reminds you that prices exclude VAT. This is a display convention for trade buyers: VAT is still charged at checkout at the applicable rate and shown on your VAT invoice. Our retail storefront always displays prices including VAT, and trade prices are visible only within your authenticated account.

Prices may change from time to time; the price applying to an order is the one shown at checkout when you place it. Trade prices replace retail promotions — retail offers and discount codes do not apply to, or stack with, trade pricing.

6. No minimum order

There is no minimum order value on trade accounts.

7. Ordering and payment

Orders are placed through the normal checkout and paid at checkout. Your order is an offer to buy; our contract is formed when we dispatch the goods. If we can't fulfil an order — for example a stock or pricing error — we'll tell you promptly and refund anything paid.

8. Delivery

We deliver UK-wide, including Northern Ireland, on the services described in our shipping policy. Delivery timescales are estimates, not guarantees, except where a carrier service is expressly guaranteed. Risk in the goods passes to you on delivery; title passes when we have received payment in full.

9. Returns, shortages and faulty goods

The 14-day consumer cancellation right under the Consumer Contracts Regulations 2013 does not apply to business purchases.

  • Damage in transit, shortages or incorrect items: inspect deliveries on arrival and tell us as soon as reasonably possible — and in any event within 5 business days of delivery — and we'll put it right with replacement, redelivery or refund.
  • Faulty goods: goods must be of satisfactory quality and fit for their described purpose. Notify us within a reasonable time of discovering a fault and we will, at our option, repair, replace or refund. We cover return carriage for confirmed faults.
  • Change of mind: we may accept goodwill returns of unused items in resalable condition at our discretion; where accepted, you cover the return carriage. We do not charge restocking fees on returns we accept.

10. Product compliance and onward supply

Where you resell or fit our products, you are responsible for complying with the law that applies to your supply — including passing on all safety information, age warnings and usage restrictions. In particular, products marked “off-road use only” (for example certain LED or HID upgrade bulbs) are not road legal: they must not be fitted to vehicles used on public roads, and you must make this clear to your own customers.

11. Liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be limited. Subject to that: we are not liable for loss of profit, loss of business or any indirect or consequential loss; and our total liability arising from any order is limited to the price paid for the goods concerned. These terms do not exclude any statutory implied terms that cannot be excluded in a business sale.

12. Suspension and closure

You may close your trade account at any time by contacting us. We may suspend or close a trade account where vetting or re-verification fails, where the account is misused (including sharing trade prices or access outside your business), or where these terms are breached. Suspension or closure doesn't affect orders already accepted.

13. Changes to these terms

We may update these Trade Terms from time to time and will give notice of significant changes. The version published when you place an order applies to that order; continuing to use the account after notice of a change means you accept the updated terms.

14. General

If any part of these terms is found unenforceable, the rest remains in force. A delay in enforcing a term is not a waiver of it. You may not assign your trade account without our consent. These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from trade purchases.
